These Terms and Conditions ("Terms") govern your use of the website www.replacify.com.au (the "Site") and the purchase of any electrical products and/or services (collectively, "Goods and Services") from Replacify Pty Ltd ("Replacify," "we," "us," or "our"). These Terms apply whether the Goods and Services are purchased through the Site or outside of it.

By accessing or using our Site, or by placing an order for our Goods or Services, you agree to be bound by these Terms, as well as our Privacy Policy, Refund Policy, and any additional service-specific terms provided on our Site. If you do not agree with these Terms, you must not access the Site or use our services.

Order Acceptance: By placing an order, you agree to pay the full price for the Goods and/or Services selected, plus any applicable fees (including delivery or service call-out charges). We reserve the right to cancel or amend any order at our discretion.

7. Delivery and Services Scheduling

For Products: Delivery of products is typically carried out on the scheduled service day or prior, unless arranged otherwise. Delivery times may vary due to unforeseen circumstances, and additional delivery charges may apply.
For Services: Services we offer such as but not limited to installations, replacements (including "install only," "service only," and "supply and install" options) and more, are scheduled based on your booking. Any additional costs incurred on-site (as per the Service Terms) are your responsibility and as such, additional charges may apply.
Customer-Supplied Items: For “install only” services where you supply your product, please note that Replacify is not liable for the supplied product or any damage incurred to the product or otherwise.

8. Modifications, Cancellations, and Refunds

Modifications to Orders: We reserve the right to modify or cancel any order if necessary. If an order is cancelled by us after payment is processed, you will receive a refund equal to the purchase amount.
Refunds and Returns: Except as required under Australian Consumer Law, we do not offer full or partial refunds or returns for any products or services. Any refunds will only be provided if the service or product is in breach of consumer guarantees under Australian Consumer Law. ANy full or partial refunds provided are on a case by case basis at the discretion of Replacify Pty Ltd and it's operators.
Service Variations: Additional or extra services not listed on our online catalog can be provided upon request. For such cases, please complete your booking for the services/products you wish to proceed with and contact us directly for a quote. Any additional work will be subject to a separate quotation and agreement.

9. Third-Party Tools and Links

Third-Party Tools: We may offer access to third-party tools and resources on our Site “as is” and “as available” without any warranties. Use of such tools is entirely at your own risk.
Third-Party Links: Our Site may contain links to third-party websites or services that are not under our control. Replacify is not responsible for the content, policies, or practices of any third-party website.

13. Indemnification

You agree to indemnify and hold harmless Replacify Pty Ltd, its affiliates, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of or related to your breach of these Terms or your use of the Site.

14. Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of law, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid one that most closely reflects the original intent.

15. Termination

Termination of Access: We may terminate or suspend your access to the Site immediately if you breach any of these Terms.
Surviving Obligations: Termination of your access does not affect any rights or liabilities that have accrued prior to termination.

These Terms and any disputes arising from them are governed by the laws of Australia, specifically the Australian Capital Territory, without regard to conflict of law principles.

18. Additional Service Terms and Contractor Clauses

Additional Service Terms: Specific additional terms relating to the provision of on-site electrical services are available on our "Service Terms" page. These terms form part of these Terms.
Contractor Indemnity: The Client (Customer) agrees to indemnify and hold harmless the Contractor (Replacify Pty Ltd), and its respective affiliates, subcontractors, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of this Agreement and beyond.
Manner of Service: Replacify controls the manner in which our services are performed, including the use of any subcontractors. Additional services not originally quoted may incur extra charges and will be quoted separately.
Amendments: Any modifications to the scope of services must be agreed upon in writing. As part of this Agreement, anything not outlined within the services may incur an additional expense and is to be agreed upon on a 'quote-by-quote' basis. This means that the Contractor is to provide the Client with a quotation for the provision of the additional service(s) and the Client can choose to Accept or Reject said quotation. If an amendment to this Agreement is required, both the Client and Contractor must agree to the amendment in writing.
Consent to Photography and Signature Acknowledgement
By engaging our services, you consent to Replacify Pty Ltd capturing photographs of the completed work for quality assurance, record-keeping, and promotional purposes (e.g. website, marketing materials, and social media), unless otherwise requested in writing.

You may be asked to provide a digital or physical signature upon completion of works to confirm that services have been delivered as agreed. This signature may also serve as acknowledgment of any variations or agreed changes during the service.

If you do not wish for photos to be taken or used, please advise us prior to the commencement of any works.
Non-Solicitation of Contractors
By using Replacify Pty Ltd’s services, you agree not to solicit, negotiate, or engage any of our electricians, technicians, or subcontractors for private or direct work outside of Replacify, during or after their attendance at your site.

All communications regarding current or future electrical work must be conducted through Replacify. Any breach of this term may result in termination of service, and we reserve the right to take legal action to protect our business interests.

Shipping Policy

Thank you for choosing Replacify Pty Ltd. This Shipping Policy explains how we deliver our electrical products, particularly when products are sent to your site as part of an installation service, and outlines your responsibilities upon receipt.

1. Order Fulfillment & Delivery Process

Integrated Delivery: Shipping costs are included as part of our service. You will not be charged a separate shipping fee; product delivery is provided as part of your overall service package unless discussed and agreed otherwise depending on your request.
Processing Time: Orders are processed quickly, and products will be dispatched in line with your scheduled service. If delivery ahead of your service day is required, we will notify you in advance.

2. On-Site Delivery for Installation

Pre-Service Delivery Notification: In some cases, products may be delivered to your site prior to the scheduled installation service. We will inform you ahead of time if a pre-service delivery is planned, including an estimated delivery window. It may also be the case that the products ordered may arrive on the day and time of service as they may be delivered by the Replacify Pty Ltd representatives directly at the day/time of service.
Purpose: Pre-service deliveries may be necessary to have products ready for our installation team. However, such deliveries are not guaranteed for every service appointment and will depend on the requirements of the service. Your name may be required to be provided to the delivery teams/couriers or their representatives and you may be required to sign to confirm the receipt of the goods.

3. Care and Handling of Delivered Products

No Tampering: Upon delivery, you are required not to open, handle, or tamper with the products in any way. The products must remain sealed and in their original packaging to ensure their condition for installation.
Liability for Damages: Replacify Pty Ltd is not liable for any damages to the product or any losses incurred if the delivered products are opened or mishandled by you or any third parties before our installation team arrives. Please inspect the packaging externally and notify us immediately if any obvious damage is observed. Tampering with or opening the packaging prior to installation may void our liability and could result in legal action if any damage or injury occurs to Replacify Pty Ltd representatives, staff, or contractors.
Safe Access: Ensure that our representatives have clear and safe access to the delivery site. If you are unavailable at the time of delivery, please make arrangements to secure the products so that they are not inadvertently damaged.

4. General Terms

Risk and Ownership: The risk of loss for delivered products passes to you upon confirmed delivery at your specified location. However, products delivered as part of your service should remain untouched until installed by our team.
